In an effort to focus the majority of my time on Maybe, I’m offloading a number of personal projects.

High-level agreement
We’ll formalize all of this in an actual legal doc. Also, each project has a “buy it now” price where you can just purchase the assets outright and owe nothing going forward. Otherwise, we’ll move forward with the revenue share details below.
- All assets will be transferred to you at no cost
- You will be responsible for any future costs (hosting, marketing, etc)
- You will pay out 15% of gross revenue in the first week after each quarter
- To sell the property, you must sell for at least 12x monthly revenue (based on TTM revenue).
- In the event that you decide to sell the property, I’ll have right of first refusal.
- In the event that you decide to sell the property, I’ll receive 25% of the gross purchase amount.
- Each project will have growth goals. If any 12-month period goes by without hitting those goals, ownership of the project will get transferred back to me. Each year “vests” your ownership by 25%. After 4 years, you no longer have to worry about the goals. (This particular clause is more about preventing project abandonment and not about pulling a fast one on you to get the property back after you’ve put in years of work. We can spell out the details of this in the contract.)
